Adobe Stock Designer Terms

1. Definitions

1.1 “Comp Work” means a watermarked, preview version of a standard Adobe Stock image that is available on the 99designs website or otherwise made available to you in connection with your use of the 99designs website or the services provided to you.

1.2 “Commercial Work” means an unwatermarked, production version of Comp Work the commercial license for which 99designs has purchased and transferred to a 99designs customer.

1.3 “Final Design” means a Submitted Design that is purchased by a 99designs customer as part of a Design Project.

1.4 “Submitted Design" means a design you create solely for a 99designs Design Project and post on the 99designs website that incorporates a Comp Work.

2. Limited rights

2.1 You may:

(A) Download, use, reproduce and modify a Comp Work solely to preview how a Comp Work may look as incorporated into a Submitted Design; (B) Publicly display a Comp Work solely as incorporated into a Submitted Design on the 99designs website; (C) Use, reproduce, and modify a Commercial Work provided to you by 99designs solely in connection with the applicable Final Design on behalf of the customer that purchased such Final Design; and (D) Transfer files containing the Commercial Work or permitted derivative works to the customer that purchased the Final Design.

3. Restrictions

3.1 You have no right to a production use of any Work for your own purposes without first acquiring the applicable license from the third party owner.

3.2 If we reasonably believe that a Work may be subject to a third party claim or if a Work is otherwise in violation of the rights granted by its owner, then we (or the owner of the Work) may instruct you to cease all use, possession, or display of such Work, and you must promptly comply with such instructions. We may discontinue the licensing of any Work at any time, and we may remove any Work from our website at any time.

3.3 You must take all reasonable actions to prevent website visitors from downloading or reusing the Work.

3.4 You may not:

(A) Sell, license, share or distribute the Work or any modified Work as stand-alone or as part of an online database or any other database, or any derivative product containing the Work in such a way that allows a third party to use, download, extract or access the Work as a stand-alone file or electronic template; (B) Use, reproduce, distribute, perform, modify, or display the Work (by itself or in combination with any other work of authorship, for example) in any manner that is libelous or slanderous or otherwise defamatory, obscene or indecent; (C) Take any action in connection with the Work that infringes the intellectual property or other rights of any person or entity, such as the moral rights of the creator of the Work and the rights of any person who, or any person whose property, appears in Work; (D) Incorporate the Work into a trademark, logo or service mark; (E) Take any action in connection with the Work that would reasonably imply that the creator of the Work, or the persons or property appearing in the Work (if any), endorse any political, economic or other opinion-based movements or parties; (F) Use the Work in a way that places any person in the photo in a bad light or depicts them in a way that they may find offensive, such as: use of the Works in pornography; tobacco ads; ads for adult entertainment clubs or similar venues, including escort or similar services; political endorsements; in a way that implies mental or physical illness or impairment or uses that are defamatory, or otherwise contain unlawful, offensive or immoral content; or (G) Remove, obscure or alter any proprietary notices associated with the Works.
